These two look quite similar to each other.  Aside from price, is there a real difference between the two or are they basically the same with different branding?

Don't think so; bodies are different, hinges are different, eyepieces are different, IF vs CF.

 

So many of these binoculars look so similar but on close examination, they are different.  There are a number of makers and suppliers in China; where all the parts are sourced and where they are assembled is usually a mystery.

 

The Helios may resemble the KUO BA8 series like the Ultras a bit more but there are differences when you look close; different hinge castings, eyepieces.  IIRC, Kevin at Oberwerk has stated that only his Ultras are sourced from KUO, the rest of his line of binos come from elsewhere.
